By signing a licensing contract with Totalisys College, or by using the software provided under this service, the client institution ("the Client") accepts these Terms and Conditions in full. If you do not agree with any of these terms, you should not proceed with contracting the service.
Totalisys College is an Academic Management System (SGA) with Enterprise Resource Planning (ERP) features, offered as a cloud service (SaaS). The software is hosted and operated by Totalisys College under a dedicated subdomain exclusive to each client institution, according to the contracted plan and modules.
Totalisys College grants the Client a non-exclusive, non-transferable license, limited to the contracted period, to access and use the software exclusively for the institution's own academic and administrative purposes. This license does not constitute a sale of the software nor does it transfer any intellectual property rights over it.
The license activates upon confirmed payment (or, in the case of no-cost covenants expressly authorized by Totalisys College, upon signature of the contract) and remains valid for the contracted period. After that period, renewal is required to keep the software active. Totalisys College may suspend access to the service in case of non-payment, after notifying the registered contact email.
The software, its source code, design, brand, and other components are the exclusive property of Totalisys College. Nothing in these terms should be interpreted as a transfer of intellectual property rights to the Client, beyond the license to use described here.
All academic, administrative, and personal information the Client enters into the software remains, at all times, the exclusive property of the Client. Totalisys College hosts it on the Client's behalf and does not use it for purposes other than operating the contracted service. Personal data processing is additionally governed by the Data Processing and Security Policy.
Totalisys College strives to keep the service continuously available, but does not guarantee 100% availability, as there may be interruptions due to scheduled maintenance, force majeure, or hosting provider failures. The Client will be notified with reasonable advance notice when possible.
Totalisys College will not be liable for indirect damages, lost profits, or data loss arising from the use or inability to use the software, except where such liability cannot be limited under applicable Colombian law.
Totalisys College may update these Terms and Conditions when necessary. The current version will always be available on this same page. Substantial changes affecting already-active contracts will be communicated to the Client via the registered contact email.
Either party may terminate the contract at the end of the contracted period, without needing to renew it. Totalisys College may suspend or terminate the service early in case of serious breach of these terms by the Client, after notification.
These Terms and Conditions are governed by the laws of the Republic of Colombia. Any dispute arising from their interpretation or application will be subject to the jurisdiction of the competent Colombian courts.
